Now updated in its second edition, this book is an introduction to business law designed mainly for multinational audiences of bachelor and master students in economics and management.

Its approach is primarily based on the international legal sources that nowadays shape an increasingly universal understanding of the legal instruments which managers must use to fulfill their responsibility of conducting companies, including in their daily operations. It describes the fundamental legal mechanisms by which commercial and financial transactions are formed, secured, and implemented.

It also addresses the legal aspects of strategic business decisions that guide the long-term development of an enterprise, such as choosing the appropriate corporate structure or acquiring and using intellectual property. Furthermore, it aims at facilitating the managers' access to the legal environment of business : to do so, it covers the fundamentals of constitutional liberties, of non-contractual liabilities, of criminal law and of judicial procedures, all considered from the perspective of their practical implications.

This second edition, which may also be useful for lawyers interested in its particular approach, is a synthesis of over twenty years of teaching by Nicolas Rouiller at several universities and business schools in Switzerland and other countries. Professor Rouiller is also a practicing attorney, a partner in a large Swiss law firm, and the author of several reference manuals on contracts, financial law and corporations.
